Definitions 1.1 Buyer: Person purchasing Goods from the Seller. 1.2 Conditions: These terms, the Order Confirmation, and any special signed terms. 1.3 Contract: Agreement incorporating these Conditions. 1.4 Data: Buyer’s supplied information. 1.5 DPA: Data Protection Act 1998. 1.6 Delivery Date: Date specified for delivery. 1.7 Goods: Items the Buyer agrees to buy. 1.8 Input Material: Buyer-provided materials for Goods. 1.9 Intellectual Property Rights: IP including patents, trademarks, etc. 1.10 Order Confirmation: Seller’s order confirmation notice. 1.11 Price: Cost of Goods excluding extras and VAT. 1.12 Quotation: Seller’s quoted price. 1.13 Seller: Steven Stone Ltd. 1.14 VAT: Value Added Tax. 1.15 Working Day: Monday to Friday, excluding holidays and 26 Dec – 2 Jan. 2. Conditions Apply exclusively to all contracts. Quotations are offers under these Conditions. Buyer accepts Conditions by placing order, receiving confirmation, or delivery. Changes must be signed by the Seller. 3. Price and Payment Price as per Quotation or Confirmation. Payment due upon order; time is of the essence. 4. Goods Description Defined in Quotation, Confirmation, or referenced documents. Seller may adjust specs to meet legal or quality standards. 5. Warranties & Liability No implied warranties unless stated in writing. Seller not liable for oral/written statements unless in official documents. Does not exclude liability for death/personal injury from negligence. Buyer is responsible for determining Goods' fitness for purpose. Seller not liable for advice or Buyer-supplied specifications. 6. Delivery of Goods Goods delivered/available around Delivery Date. Delivery address must be verified; Seller may refuse. Buyer must inspect packaging and report issues within 48 hours. Clear signature implies acceptance and ownership. Cancellation possible with refund before delivery. Right to cancel within 14 days (7 days for custom Goods) if returned in original condition. 7. Acceptance Buyer deemed to accept Goods after return/cancellation period. No returns without Seller’s written approval. Buyer pays for return shipment if accepted. Declining Goods = liability for Seller’s loss on resale. 8. Time for Delivery Delivery dates are estimates unless guaranteed in writing. Buyer must provide Input Material promptly. 9. Intellectual Property Seller or suppliers own all IP in Goods. 10. Remedies of Buyer Rejection ends Buyer’s rights. Acceptance limits Seller's liability. No liability for indirect, special, or third-party losses. Buyer must notify Seller of hidden defects within 3 days. Remedies limited to repair, replacement, refund, or insurance payout. 11. Data Protection Buyer data may be shared with credit agencies. Seller takes reasonable precautions but excludes liability for breaches. Buyer warrants that Input Material does not infringe third-party rights. Buyer indemnifies Seller for issues from Input Material. 12. Third Party Rights No rights for third parties under the Contract. 13. Notices Notices must be in writing (post, hand, recorded delivery, fax, or email). Deemed received upon delivery or as per standard mail timelines.
